Hereinafter referred to as "the Customer(s)".

These Terms and Conditions govern the sale of all products displayed on the "feiyue-shoes.com" website by FEIYUE.
The parties hereby agree that their relations shall be exclusively governed by this contract, to the exclusion of any other condition. The articles are for sale solely to non-trading private individuals.
Unless otherwise proven, the data recorded by FEIYUE-SHOES.COM represents the evidence of the transactions entered into.
All orders duly validated on the FEIYUE-SHOES website implies complete and unreserved acceptance of these Terms and Conditions of Sale and, possibly, the terms and conditions of sale specific to one or more products or orders.

1. OBJECT

These Terms and Conditions of Sale are aimed at defining the reciprocal obligations of the parties in addition to the different stages of the ordering process, apart from the performance of the order.

2. ARTICLES AND PRODUCTS

2.1 - FEIYUE-SHOES.COM is a website designed to sell items of clothing, shoes and fashion accessories.
Any claims from customers concerning the order or the delivery of an article that is unavailable shall be deemed to be groundless. In the event of a validated order for a product or article becoming unavailable FEIYUE undertakes not to debit the customer's account linked to the banker's card number provided.
In the event of a debit or the processing of a payment concerning the order of an unavailable item, FEIYUE undertakes, within 10 days to refund the amount of the order customer for a payment made by banker's card.
At all events, FEIYUE undertakes to inform all customers who have ordered an article which is no longer available by email.

2.2 - The products put on sale are described and displayed in the most accurate manner possible.
Nevertheless, if mistakes or omissions affect the display, FEIYUE shall not be held liable.
The photographs illustrating the text describing the products are not covered by this contract.

3. PRICE OF THE PRODUCTS AND DELIVERY

3.1 - The prices of our products are indicated in euros inclusive of VAT but not including a contribution to cost of processing and shipping (see shipping/deadlines and costs)

3.2 - The VAT included is French VAT at the rate in force for the products concerned. If the rate of VAT is altered, these changes may affect the price of the articles without the customer being informed beforehand.
For deliveries in the French Overseas Departments and Territories and countries outside the European Union, the VAT shall be deducted from the prices billed, but payment for customs duties shall be requested upon delivery.

3.3 - Deliveries shall be made between three and five days following receipt of the order, notwithstanding any act of God or event of force majeure which might delay delivery and which is beyond the control of FEIYUE.

3.4 - The rates, provided as an example solely, are as follows :
Metropolitan France, Germany, Belgium, Spain, Italy, United Kingdom, Corsica and Monaco: Postage and packing free of charge
Other destinations: eight euros inclusive of VAT. The price billed corresponds to a weight category below 1kg.

3.5 - FEIYUE-SHOES.COM retains title in the products until full payment of the price is received by FEIYUE-SHOES.COM

4. ORDERS

4.1 - Customers interested in an item displayed on the FEIYUE-SHOES website follow the following process in order to prepare orders.
After having clicked on the "Add to basket" icon and after having checked the specificities of their order (colour, quantity, price, etc.) he customer validates his/her choice of the chosen products by simply clicking on the button in question. He then keys in his contact details with the following mandatory information: marital status, surname, forename, full delivery address.
When the customer clicks on the "access to payment by BNP Paribas Mercanet banker's card", he/she accesses a summary of the order in order to proceed with payment on the Mercanet website.

4.2 - Methods of payment: customers can pay on the Mercanet website.
After having validated his/her purchase, the customer validates his/her order in a binding and irrevocable fashion with the consequences indicated hereafter.
The Customer validates the product and the total price. He/she chooses the type of banker's card, enters the number, the validation date and the last three digits on the rear of the banker's card. Then the Customer validates the payment of the order by clicking on the "validate" button.
This validation is deemed to be the equivalent of a sale and irrevocably binds the parties.
Providing this information validates the sale between the parties.

4.3 - FEIYUE shall acknowledge receipt of the order immediately following validation by sending an email or by any other means it deems appropriate, in accordance with the provisions of article L121-19 of the Consumer Code.

5. SECURITY OF PAYMENTS

5.1 - In order to ensure secure payments, the FEIYUE-SHOES.COM website uses the secure payment services operated by BNP Paribas Mercanet. These services have the SSL security standard built in to them.
Confidential data (the sixteen-figure banker's card number and the expiry date) are encoded on SIPS servers without transiting on the FEIYUE-SHOES physical media.

6. WARRANTIES

6.1 - FEIYUE-SHOES.COM shall remain liable for non-compliance of its products sold on the feiyue-shoes.com website under the conditions set out in articles L.211-4 et seq. of the Consumer Code and in articles 1641 to 1649 of the Civil Code.

6.2 - All the items displayed on the feiyue-shoes.com website may, with the exception of an exchange or a refund within fifteen days of the date of receiving the item(s).

given that this right of return may only be accepted for products in their original perfect condition and in full, along with, a copy of the purchase invoice.

Thus, products returned by the Customer incomplete, damaged or dirty shall not be accepted.

7. SIGNATURE AND PROOF

7.1 - For all payments via Mercanet on the FEIYUE-SHOES.COM website, the electronic certificate issued by the Mercanet management system is deemed to be proof of the amount and the date of the transaction, in accordance with the provisions of articles 1316 et seq. of the Civil Code in addition to the means of electronic storage put in place by FEIYUE.
In this respect, the dates and times of the server shall prevail between the parties.

7.2 - Validating the order, via Mercanet, implies signing for and expressly accepting all the actions made on the website.

7.3 - However, the date for paying the amounts owed is referred to in article 4.2.

8. IDENTIFICATION

8.1 - In order to facilitate identification of the Customer, the Customer expressly authorises FEIYUE to place on his/her hard drive a cookie file solely designed to facilitate said identification.
A Customer who refuses to have this file placed on his/her hard drive must fully complete the order validation forms whenever he or she makes an order.

9. LIABILITY

9.1 - For all the stages of accessing the site, viewing, completing forms, making orders, delivering items or any other service EIYUE only has duty of care.

9.2 - In consequence, FEIYUE shall not be held liable for any problems or damage inherent to the use of the Internet and totally independent of the care and precautions taken by FEIYUE.
In particular, FEIYUE shall not accept liability for any disruption in the supply of the service, or external intrusion or presence of viruses,

9.3 - Similarly, any event considered to be an event of force majeure as defined by the case law of the Cassation Court , completely exonerates FEIYUE from any liability.

9.4 - Under no circumstances shall FEIYUE-SHOES.COM be held liable for any damage be it indirect, incidental, special or additional, and in particular, without this being exhaustive, the loss of operations, loss of earnings or opportunity resulting from the purchase of products from the feiyue-shoes.com. website.

10. PERSONAL DATA

10.1 - FEIYUE, for service needs, reserves the right to collect the personal data of the website users, in particular through the use of cookies as referred to in article 8.
For this purpose, the CNIL (French Data Protection Agency) has been informed of the existence of the feiyue-shoes.com website which has been registered under number 1195245.

10.2 - Furthermore, FEIYUE reserves the right to transfer the data that it has collected on its website for commercial purposes, unless expressly forbidden to do so by any Internet user concerned.

10.3 - At all events, and in accordance with law No.78-17 of 6 January 1978, any user or customer of the site may at all times object to the commercial use of said data and benefit from the right to access, rectify and delete his/her personal data.

11. ADDRESS FOR SERVICE

FEIYUE hereby states that notices should be served at the address indicated at the beginning of these terms and conditions.

12. INTELLECTUAL PROPERTY

12.1 - All the texts, comments, works, illustrations, sound elements and pictures reproduced on the feiyue-shoes.com website, including the underlying technology which is used, are covered by copyright and are considered as Intellectual Property for the whole world.

In this respect, and in accordance with the provisions of the Intellectual Property Code, only private use is authorised subject to the different provisions, indeed more restrictive of the Intellectual Property Code.

Any whole or partial reproduction of the feiyue-shoes.com website is formally and strictly prohibited.

12.2 - Users who have a website of their own and who wish, for personal use, to put a simple link directly leading to the FEIYUE-SHOES Homepage, must obtain the prior approval of FEIYUE.
It may not under any circumstances be a case of an implicit affiliation agreement.
However, any hypertext link to the FEIYUE-SHOES website using the framing technique, deep-linking, in-line linking or other deep linking technique is at all events formally prohibited.
At all events, any link, even tacitly authorised, must be withdrawn if so requested by FEIYUE.

13. WHOLE AGREEMENT

13.1 - These terms and conditions entered into by FEIYUE and the customer cover all of the obligations of the parties.
No indication, nor any document may generate any obligations in respect of these terms and conditions if they are not the subject of an amendment signed by both parties.
No correspondence prior to signing this agreement may generate any obligations in respect of these terms and conditions.

13.2 - However, if a term or condition becomes invalid, it shall be deemed to be governed by the customs and practice in force in the sector of sale.

14. TOLERANCE OR WAIVER

14.1 - It is formally agreed between FEIYUE and the customer that any tolerance or decision not to apply all of some of the undertakings set out in these terms and by one of the parties, shall not result in this agreement being amended, nor generate any right whatsoever.

14.2 - More precisely, any delay or failure to act, abstaining or omission on the part of the customers in exercising any of his rights under this agreement shall not affect said right, nor be considered as a waiver in terms of exercising this right.

15. SEVERABILITY

If a particular stipulation of these terms and conditions is deemed invalid or declared to be so by a ruling having res judicata authority, the other stipulations shall retain their validity and their scope.

16. GOVERNING LAW

These Terms and Conditions of Sale are governed and construed exclusively and in accordance with French law without taking into account the principle of conflicting laws.

The application of the Convention of the United Nations on contracts dealing with the international sale of goods is hereby expressly discarded.

In the event of disputes French courts shall have sole jurisdiction.
